Legal
Syntic Care User Agreement and Terms of Service
IMPORTANT: PLEASE READ THESE TERMS CAREFULLY.
These Syntic Care User Agreement and Terms of Service (the "Terms") form a legally binding agreement governing your download, installation, access to, and use of Syntic Care.
If you do not agree to these Terms, do not install, access, or use Syntic Care.
Nothing in these Terms excludes or limits rights or remedies that cannot lawfully be excluded or limited under applicable law.
1. About These Terms
These Terms govern Syntic Care, including the Syntic Care desktop software, installers, updates, locally installed components, account-connected functionality, documentation, support functionality, subscription functionality, and other Syntic Care services that expressly reference these Terms (collectively, "Syntic Care," "Care," the "Software," or the "Services").
In these Terms, "Syntic," "we," "us," and "our" refer to Syntic AI, Inc., together with any affiliate that is identified as the provider of Syntic Care where applicable.
"You" and "your" refer to the individual or legal entity that downloads, installs, accesses, purchases, receives, or uses Syntic Care.
If you use Syntic Care on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" includes that entity.
These Terms apply only to Syntic Care except where a provision expressly states otherwise.
2. Syntic Care and the Syntic.ai Platform
Syntic Care and Syntic AI are related Syntic products, but they are not governed by one universal product agreement.
These Terms govern Syntic Care.
They do not replace the separate terms, privacy notices, policies, product rules, usage policies, or other agreements that apply when you access or use Syntic AI, syntic.ai, Syntic APIs, business services, health-related functionality, or another separately governed Syntic product or service.
If you access Syntic AI or another service through syntic.ai --- including through a link, account connection, promotional benefit, complimentary entitlement, integrated feature, or other route made available from Syntic Care — your use of that service is governed by the terms and policies applicable to that service.
Your Syntic account may provide access to multiple Syntic products. Shared identity, shared sign-in, shared account infrastructure, cross-product promotions, or cross-product entitlements do not cause the legal terms for one Syntic product automatically to govern another Syntic product.
2.1 Policies Applicable to the Syntic.ai Platform
When you use Syntic AI or applicable services on syntic.ai, you should review the policies and terms applicable to those services, including, where relevant:
- Syntic AI Privacy Policy: https://syntic.ai/legal/privacy
- Syntic AI Health Data Policy: https://syntic.ai/legal/health-data-policy
- Privacy Preferences: https://syntic.ai/legal/privacy#preferences
- Business Terms: https://syntic.ai/legal/business-terms
- Consumer Terms: https://syntic.ai/legal/consumer-terms
- API Usage Policy: https://syntic.ai/legal/api-usage
- Cookies: https://syntic.ai/legal/privacy#cookies
Those documents govern the Syntic.ai services to which they apply. They are not replaced by these Syntic Care Terms.
2.2 Care-Specific Policies
Your use of Syntic Care may also be subject to Care-specific policies made available with the Software or on the Syntic Care website, including the applicable:
- Syntic Care Privacy Policy;
- Syntic Care Refund Policy;
- subscription and checkout disclosures;
- security notices;
- support rules;
- feature-specific disclosures; and
- other policies expressly incorporated into or presented with these Terms.
If a Care-specific policy conflicts with these Terms regarding the subject specifically governed by that policy, the more specific Care policy controls for that subject, except where applicable law requires otherwise.
3. One Syntic Account, Separate Product Rights
Syntic may use a common account system across multiple Syntic products.
A Syntic account is an identity and authentication mechanism. It does not, by itself, mean that you have purchased, subscribed to, or obtained every Syntic product.
Product access and paid functionality may depend on separate entitlements, subscription status, plan eligibility, promotions, organization membership, device authorization, or other product-specific conditions.
A subscription to one product does not automatically constitute a subscription to another product unless Syntic expressly states that a particular benefit is included.
4. Acceptance of These Terms
You accept these Terms when you do any of the following:
- download or install Syntic Care;
- launch or use Syntic Care;
- create or connect a Syntic account for Care;
- activate or receive a Care entitlement;
- click or otherwise indicate acceptance where these Terms are presented; or
- continue using Care after updated Terms become effective, where such acceptance is legally permitted.
If applicable law requires a different form of consent, we will use the legally required process.
5. Age and Legal Capacity
You must have the legal capacity to enter into these Terms.
If you are below the age at which you may independently enter into a binding contract in your jurisdiction, you may use Syntic Care only where permitted by applicable law and with any consent or authorization legally required from a parent, guardian, or other authorized person.
Syntic Care is not intended to override operating-system parental controls, device-management restrictions, or other lawful restrictions placed on a device.
6. Consumer and Business Use
Syntic Care may be offered to individual consumers and, where expressly supported, businesses or organizations.
If you are using Care as a consumer, mandatory consumer protections applicable in your country or region continue to apply.
If you use Care on behalf of a business, organization, employer, or managed environment, additional business terms, enterprise terms, order forms, data-processing terms, or administrator policies may apply.
Where an executed business agreement expressly conflicts with these Terms, the executed business agreement controls to the extent of that conflict.
7. The Software
For purposes of these Terms, "Software" includes the Syntic Care application and, where applicable:
- installers and installation packages;
- executables and binaries;
- frameworks and libraries distributed with Care;
- helper tools and privileged helpers;
- local scanning components;
- security components;
- update components;
- command-line or system integrations;
- user-interface components;
- configuration files;
- documentation;
- subscription and entitlement components;
- upgrades, updates, patches, bug fixes, and maintenance releases;
- replacement or modified versions provided by Syntic; and
- other software components expressly distributed by Syntic as part of Syntic Care.
The Software is licensed, not sold, except to the extent applicable law requires a different characterization.
8. License Grant
Subject to your compliance with these Terms, Syntic grants you a limited, personal or internal-business, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Syntic Care on supported devices for which you have a valid right to use the applicable Care functionality.
The scope of your license depends on your applicable plan, entitlement, trial, complimentary benefit, device authorization, or other access rights.
Syntic retains all rights not expressly granted to you.
9. Supported Platforms and Devices
Syntic Care may be made available for different operating systems and device classes, including macOS, Windows, and, in the future, mobile or other supported devices.
Availability may vary by:
- operating system;
- operating-system version;
- hardware architecture;
- device capability;
- region;
- app-distribution channel;
- plan;
- entitlement;
- feature;
- security requirements;
- technical dependencies; or
- third-party platform restrictions.
The existence of Syntic Care on one platform does not guarantee that identical functionality will be available on another platform.
Some functionality may be unavailable, technically impossible, restricted, or implemented differently because of operating-system security controls, hardware limitations, platform policies, or other technical requirements.
10. System Requirements
You are responsible for maintaining a supported device and operating environment.
Syntic may publish minimum or recommended system requirements. These requirements may change as the Software evolves.
Older operating systems, unsupported hardware, modified operating systems, virtualized environments, incompatible security configurations, or other unsupported environments may prevent some or all functionality from working.
Syntic is not required to maintain indefinite compatibility with an operating system, hardware configuration, or third-party software.
Nothing in this section limits statutory rights relating to conformity or digital content where such rights apply.
11. Syntic Care Free
Syntic may offer Syntic Care Free without a subscription charge.
Care Free may include only a subset of Syntic Care functionality.
Syntic may add, modify, replace, or remove Free functionality over time, subject to applicable law.
Access to ongoing Care Free functionality may require a Syntic account.
Care Free is not a promise that every current or future Care capability will be available without charge.
12. Pre-Account Diagnostic Preview
Syntic Care may allow a new user to perform a limited diagnostic experience before creating or signing into a Syntic account.
Where offered, this pre-account diagnostic preview is intended to let you see certain genuine device findings before deciding whether to continue using Syntic Care.
The preview:
- may be limited to one completed preview on a device installation or local state;
- may provide read-only diagnostic results;
- may limit or exclude actions that change, delete, clean, quarantine, optimize, uninstall, or otherwise modify device data or configuration;
- may restrict repeated scans or rescans after the preview is completed;
- may require an account before continued use;
- may be limited by operating-system permissions;
- may not include every Care category or capability; and
- is not the same as a paid Care Pro trial.
Syntic may use local state to determine whether the preview has already been completed. The privacy treatment of this functionality is described in the applicable Syntic Care Privacy Policy.
A reinstall, device reset, software update, or other technical event does not create a contractual right to another preview.
13. Syntic Account
Ongoing use of Care may require a Syntic account.
You agree to provide accurate information where account information is required and to keep required account information reasonably current.
You may not:
- impersonate another person;
- create an account using information you are not authorized to use;
- sell or transfer an account contrary to these Terms;
- use accounts to circumvent trials, subscriptions, sanctions, security controls, or product restrictions;
- use automated account creation to abuse the Services.
14. Account Security
You are responsible for taking reasonable steps to protect your account credentials, authentication methods, devices, recovery mechanisms, and sessions.
You must not knowingly provide your password, authentication code, private key, recovery code, or other sensitive credential to an unauthorized person.
If you believe your account has been compromised, you should promptly use available security controls and contact Syntic Support where appropriate.
Syntic may require reauthentication, revoke sessions, restrict access, or take other reasonable measures where account compromise or suspicious activity is detected.
15. Device Authorization
Certain Care functionality may depend on device authorization or a device entitlement.
A device record may be used to determine whether a device is entitled to use particular Care functionality.
Where a paid plan has a device allowance, Syntic may prevent activation of additional devices when the allowance has been reached.
Syntic will not intentionally deactivate an arbitrary device merely to create space without an applicable product rule, user choice, or other lawful basis.
Specific device-management rules may be displayed in the product or account interface.
16. Offline Use
Some Care functionality may continue to work without a continuous internet connection.
Other functionality may require internet access for:
- initial account creation or sign-in;
- entitlement establishment or refresh;
- subscription status;
- software updates;
- threat intelligence;
- cloud-dependent functionality;
- support;
- online AI functionality;
- or other connected services.
Offline availability is not guaranteed indefinitely.
A previously valid entitlement may be subject to an offline validity period or grace period. Syntic may require the Software to reconnect periodically to verify continued entitlement.
17. Device Scanning
Syntic Care is designed to inspect aspects of a supported device in order to provide diagnostics, organization, cleanup recommendations, performance information, application information, privacy information, storage analysis, security functionality, or other Care capabilities.
Depending on the feature, Care may inspect or process information such as:
- files and folders;
- file metadata;
- file paths;
- file names;
- file types and extensions;
- file sizes;
- timestamps;
- duplicate or similarity indicators;
- caches;
- temporary files;
- logs;
- downloads;
- installed applications;
- application support data;
- startup or login items;
- browser-related data;
- development-tool data;
- storage usage;
- system configuration;
- hardware information;
- operating-system information;
- locally installed AI models or related caches;
- security-relevant files or events;
- and other information reasonably necessary to perform a feature you use.
The fact that information is processed locally by Care does not necessarily mean that the information is transmitted to Syntic.
The Syntic Care Privacy Policy describes relevant data flows.
18. Permissions and Operating-System Controls
Some Care functionality requires operating-system permissions or elevated authorization.
Depending on the operating system and feature, this may include permission to access files, storage locations, applications, system settings, protected folders, background services, security information, or other device resources.
You control whether to grant permissions presented by the operating system.
If you decline a required permission, the affected feature may be unavailable, incomplete, or unable to inspect certain locations.
Syntic Care will not represent a permission-limited result as a complete inspection when the Software knows that required access was unavailable.
19. Read-Only and Action Features
Some Care functionality is informational or read-only. Other functionality may be capable of changing device state.
A read-only finding does not itself mean that Syntic Care has deleted, cleaned, repaired, optimized, or otherwise changed anything.
Where Care offers an action that can modify device state, you are responsible for reviewing the action presented to you before authorizing it.
Syntic may require confirmation, additional permission, authentication, or another safety step before performing certain actions.
20. Cleanup, Removal, and Destructive Actions
Where Syntic Care provides cleanup, deletion, uninstall, removal, or other destructive functionality, such functionality may permanently affect files, applications, configuration, or other device data.You are responsible for maintaining appropriate backups of important information.
Syntic may implement safeguards such as:
- review screens;
- allowlists or denylists;
- protected locations;
- permission gates;
- confirmation dialogs;
- exclusions;
- recovery options;
- or other safety mechanisms.
No safeguard can eliminate every possibility of user error, software defect, third-party incompatibility, or unintended consequence.
You should not authorize deletion or modification of data you do not understand or cannot afford to lose.
21. Protected and Unsupported Locations
Syntic may designate certain files, folders, applications, system locations, development environments, account data, or other resources as protected, informational-only, unsupported, or unavailable for automated modification.
A feature may therefore identify an item without offering to remove or change it.
The availability of a finding does not guarantee that an automated action is available.
22. Accuracy of Device Findings
Care findings are based on software rules, system information, heuristics, metadata, security intelligence, and other technical methods.
Findings may be incomplete, outdated, duplicated, misclassified, unavailable because of permissions, or otherwise imperfect.
Storage estimates and potential cleanup amounts may differ from actual reclaimed disk space because of filesystem behavior, snapshots, caching, compression, synchronization, hard links, cloud storage, operating-system behavior, or other technical factors.
You should review important findings before acting on them.
23. AI and Intelligent Features
Syntic Care may include features described as AI, intelligent, assisted, diagnostic, recommendation, classification, or similar functionality.
The implementation may vary by feature.
A feature may use:
- deterministic local logic;
- local machine-learning models;
- operating-system intelligence;
- Syntic-hosted AI services;
- third-party AI services;
- or combinations of these methods.
The fact that a feature is described as "AI" does not, by itself, mean that your files or content are uploaded to Syntic.
Relevant data handling is described in the applicable Privacy Policy and feature disclosures.
24. Syntic AI Is a Separate Service
If Care provides a link, integration, or route to Syntic AI on syntic.ai, the Syntic AI service remains separately governed.Your use of Syntic AI is subject to the applicable Syntic.ai policies, including where relevant:
- https://syntic.ai/legal/privacy
- https://syntic.ai/legal/health-data-policy
- https://syntic.ai/legal/privacy#preferences
- https://syntic.ai/legal/business-terms
- https://syntic.ai/legal/consumer-terms
- https://syntic.ai/legal/api-usage
- https://syntic.ai/legal/privacy#cookies
A Care entitlement does not alter those terms.
A Syntic AI entitlement does not alter these Care Terms except to the extent it provides a valid Care benefit.
25. AI Outputs and Recommendations
AI-generated or automated outputs may be inaccurate, incomplete, outdated, non-unique, or inappropriate for a particular situation.
You should evaluate important recommendations before acting on them.
Unless Syntic expressly states otherwise for a particular regulated service, Care outputs are not professional medical, legal, financial, accounting, engineering, cybersecurity incident-response, or other professional advice.
You remain responsible for decisions you make based on Care recommendations.
26. Software Updates
Syntic may provide updates, upgrades, patches, security fixes, compatibility changes, feature additions, feature removals, or replacement versions.
Updates may be necessary to:
- maintain compatibility;
- improve security;
- fix defects;
- support new operating-system versions;
- discontinue unsafe functionality;
- comply with law;
- maintain third-party dependencies;
- improve performance;
- or evolve the product.
Some updates may install automatically where permitted by your settings, operating system, distribution channel, and applicable law.
27. Critical Security Updates
Syntic may treat certain updates as critical where necessary to address a serious vulnerability, certificate issue, security problem, compatibility failure, legal requirement, or material service risk.
Older versions may cease to function or may lose access to connected functionality when continued operation would create an unreasonable security, integrity, or compatibility risk.
28. Changes to Features
Syntic may change Care over time.
Features may be:
- added;
- improved;
- redesigned;
- renamed;
- combined;
- separated;
- limited;
- deprecated;
- replaced;
- suspended;
- or discontinued.
Where applicable law requires advance notice, continued functionality, a remedy, or another protection for a material change, Syntic will comply with those requirements.
Marketing descriptions, roadmaps, previews, screenshots, prototypes, "coming soon" references, and development plans do not constitute a guarantee that a feature will ship on a particular date or at all.
29. Beta, Preview, and Experimental Features
Syntic may make experimental, beta, preview, early-access, research, or test functionality available.
Such functionality may:
- contain defects;
- change substantially;
- be incomplete;
- have limited support;
- be available only to selected users;
- be withdrawn;
- or be subject to additional terms.
You should not rely on experimental functionality for critical operations unless Syntic expressly states that it is suitable for that use.
30. Permitted Use
You may use Syntic Care only in accordance with:
- these Terms;
- applicable law;
- the rights granted by your applicable Care plan or entitlement;
- technical restrictions reasonably implemented by Syntic;
- and any additional terms applicable to a specific feature.
31. Prohibited Conduct
Except where applicable law expressly gives you a right that cannot be waived, you may not:
- copy or redistribute the Software except as authorized;
- sell, rent, lease, sublicense, or commercially redistribute the Software without authorization;
- circumvent subscription, entitlement, trial, device, account, or access controls;
- forge, modify, or manipulate entitlement data;
- bypass security mechanisms;
- use another person's paid entitlement without authorization;
- use Care to gain unauthorized access to a device, account, network, or data;
- interfere with the operation or security of Syntic systems;
- distribute malware through the Services;
- use the Services for unlawful surveillance;
- use the Services to violate another person's privacy or rights;
- use automated means to abuse account creation, trials, promotions, support, or billing;
- falsely represent yourself as Syntic or an authorized Syntic representative;
- remove proprietary notices where prohibited;
- reverse engineer, decompile, disassemble, or attempt to derive source code except to the extent such restriction is prohibited by applicable law;
- exploit vulnerabilities in a manner that harms users, Syntic, or third parties;
- use Care in violation of export controls, sanctions, or other applicable law.
32. Security Research
Syntic supports responsible security research.
Where Syntic publishes a Responsible Disclosure or vulnerability-reporting policy, good-faith security research should follow that policy.
Nothing in these Terms authorizes destructive testing, unauthorized access to third-party systems, privacy violations, service disruption, data exfiltration, extortion, or other unlawful conduct.
33. Ownership
Syntic and its licensors retain all right, title, and interest in and to Syntic Care, including, as applicable:
- software;
- source and object code;
- architecture;
- user interfaces;
- designs;
- graphics;
- icons;
- logos;
- trademarks;
- documentation;
- text;
- databases;
- models;
- algorithms;
- compilations;
- product names;
- audiovisual materials;
- and other Syntic-provided content.
These Terms do not transfer ownership of Syntic intellectual property to you.
34. Syntic Marks
"Syntic," "Syntic AI," "Syntic Care," associated logos, product names, and other brand elements may be trademarks or protected identifiers of Syntic or its affiliates.
No right to use Syntic branding is granted except as expressly authorized.
35. Feedback
If you voluntarily provide feedback, suggestions, ideas, bug reports, or product-improvement proposals, you grant Syntic a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, commercialize, and otherwise exploit that feedback without obligation to compensate you, to the extent permitted by law.
This does not transfer ownership of your unrelated files, device content, or personal data to Syntic.
36. Third-Party Software
Syntic Care may include or interact with third-party software, open-source components, operating-system frameworks, security engines, libraries, services, or other technologies.
Third-party components may be subject to separate license notices.
Nothing in these Terms reduces rights granted to you under an applicable open-source license.
37. Third-Party Services
Care may provide links to, integrations with, or functionality dependent on third-party services.
Syntic does not control every third-party service.
Your use of a third-party service may be governed by that provider's terms and privacy policy.
Syntic is not responsible for a third party's independent acts or omissions except to the extent liability cannot lawfully be excluded.
38. Syntic Care Privacy
The processing of personal information in connection with Syntic Care is described in the Syntic Care Privacy Policy.
A fundamental distinction in Care is that information processed on your device is not necessarily information collected by Syntic.
You should review the Care Privacy Policy for details concerning:
- account data;
- device information;
- diagnostic information;
- local scanning;
- telemetry;
- support information;
- website data;
- payments;
- retention;
- international transfers;
- privacy rights;
- and other relevant data practices.
39. Syntic.ai Privacy Is Separately Governed
When you use Syntic AI or other applicable services on syntic.ai, the privacy rules applicable to those services are found in the Syntic.ai policies, including:
Privacy Policy: https://syntic.ai/legal/privacy
Where relevant, additional Syntic.ai privacy materials include:
Health Data Policy: https://syntic.ai/legal/health-data-policy
Privacy Preferences: https://syntic.ai/legal/privacy#preferences
Cookies: https://syntic.ai/legal/privacy#cookies
The Care Privacy Policy does not replace those policies for Syntic.ai services, and those policies do not automatically replace the Care Privacy Policy for Care-specific processing.
40. Term
These Terms remain effective while you use Syntic Care unless terminated in accordance with these Terms.
41. Termination by You
You may stop using Syntic Care at any time.
Uninstalling Syntic Care does not by itself delete your Syntic account or data associated with separately governed Syntic services.
42. Suspension or Termination by Syntic
Syntic may suspend or terminate access to some or all Care functionality where reasonably necessary, including where:
- you materially violate these Terms;
- fraud or unauthorized account activity is suspected;
- an account is compromised;
- you abuse accounts, entitlements, or device authorization;
- your use creates a security or integrity risk;
- your use violates applicable law;
- sanctions or export restrictions require action;
- continued service would expose Syntic or others to material legal risk;
- a product or service is discontinued;
- or another legitimate basis exists under applicable law.
Where required by law, Syntic will provide notice, an opportunity to remedy, or another legally required process.
43. Effect of Termination
When your right to use Care functionality ends, affected features may become unavailable.
Where Care Free remains available and you remain eligible, your account may continue with Care Free functionality.
Stopping or terminating Care does not by itself terminate a separately governed Syntic AI account or service.
Provisions that by their nature survive termination remain effective, including provisions concerning ownership, intellectual property, disclaimers, limitations of liability, dispute provisions, and other provisions intended to survive.
44. Mandatory Rights Come First
You may have statutory rights concerning digital content, software, services, subscriptions, warranties, conformity, refunds, or remedies.
Nothing in these Terms excludes or limits a right that cannot legally be excluded or limited.
The disclaimers below apply only to the maximum extent permitted by applicable law.
45. Service Provided "As Is" Where Permitted
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTIC CARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTIC DISCLAIMS IMPLIED WARRANTIES OR CONDITIONS INCLUDING MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
This disclaimer does not affect warranties or remedies that cannot legally be excluded.
46. No Guarantee of Error-Free Operation
Syntic does not guarantee that Care will:
- be uninterrupted;
- be error-free;
- detect every relevant file or issue;
- remove every unwanted item;
- identify every security threat;
- improve every device;
- produce a particular amount of free storage;
- be compatible with every application;
- remain compatible with every operating-system version;
- or satisfy every individual requirement.
Software, operating systems, filesystems, applications, hardware, and security threats change continuously.
47. Backups
You are responsible for maintaining appropriate backups of important data.
Before authorizing an action that could delete, modify, uninstall, quarantine, move, or otherwise affect important data, you should ensure that you have an appropriate backup or recovery method.
This section does not exclude liability that cannot legally be excluded.
48. Excluded Categories of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNTIC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO SYNTIC CARE.
Where applicable law does not allow a particular exclusion, that exclusion will apply only to the maximum extent permitted.
49. Data and Device Loss
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTIC WILL NOT BE LIABLE FOR LOSS, CORRUPTION, OR UNAVAILABILITY OF DATA CAUSED BY EVENTS OUTSIDE SYNTIC'S REASONABLE CONTROL, USER-AUTHORIZED DELETION, THIRD-PARTY SOFTWARE, OPERATING-SYSTEM BEHAVIOR, HARDWARE FAILURE, MALWARE, OR FAILURE TO MAINTAIN REASONABLE BACKUPS.
Nothing in this section excludes liability for damage for which liability cannot legally be excluded.
50. Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNTIC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO SYNTIC CARE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID DIRECTLY TO SYNTIC FOR SYNTIC CARE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- US$100.
This cap does not apply where applicable law prohibits such a limitation, including to categories of liability that cannot lawfully be limited.
51. Non-Excludable Liability
Nothing in these Terms excludes or limits liability to the extent such liability cannot legally be excluded or limited, which may include liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence where applicable, death or personal injury caused by negligence where applicable, or mandatory consumer rights.
52. Indemnification
To the extent permitted by applicable law, if you use Care on behalf of a business or organization, you agree to defend, indemnify, and hold harmless Syntic and its affiliates from third-party claims, liabilities, damages, losses, and reasonable costs arising from:
- your unlawful use of Care;
- your material breach of these Terms;
- your violation of another person's rights;
- or content, systems, or activity for which you are legally responsible.
This section does not apply to consumers to the extent such an indemnity would be prohibited or unenforceable under applicable consumer law.
53. Export Controls
Syntic Care may be subject to U.S. export-control laws and regulations and other applicable trade-control laws.
You agree not to export, re-export, transfer, release, or use the Software in violation of applicable export-control laws.
54. Sanctions
You may not use Syntic Care where providing the Software or Services to you would violate applicable sanctions or trade restrictions.
You represent that you will not knowingly use Care on behalf of a prohibited person, entity, destination, or end use in violation of applicable law.
Syntic may restrict access where required to comply with sanctions, export controls, or other legal obligations.
55. Compliance With Law
You are responsible for using Care in compliance with applicable law.
You may not use Care to facilitate unlawful access, unauthorized surveillance, privacy violations, malware distribution, intellectual-property infringement, fraud, or other unlawful activity.
56. Applicable Law and Mandatory Rights
Nothing in these Terms limits rights or remedies that cannot lawfully be excluded or limited under applicable law.
Questions of governing law, jurisdiction, and venue are subject to applicable law, including mandatory consumer protections that cannot lawfully be waived.
57. Consumers in the European Economic Area and United Kingdom
If you are a consumer in the European Economic Area, United Kingdom, or another jurisdiction with mandatory consumer protections, nothing in these Terms deprives you of protections that cannot lawfully be waived.
You may have rights concerning digital content, digital services, automatic renewal, cancellation, withdrawal, conformity, remedies, and jurisdiction.
Any governing-law or forum provision in the final Terms applies subject to those mandatory rights.
58. Dispute Resolution
Before commencing formal proceedings, you and Syntic are encouraged, where appropriate, to attempt to resolve a dispute by contacting Syntic through the official legal or support contact published for Syntic Care.
Nothing in this section prevents either party from seeking urgent relief where legally available or from exercising a mandatory consumer right.
59. Electronic Communications
By using Care, creating an account, or communicating with Syntic electronically, you agree that Syntic may provide agreements, notices, disclosures, account information, security notices, and other communications electronically where permitted by law.Electronic communications may be provided through:
- the Care application;
- your Syntic account;
- email;
- the Care website;
- syntic.ai where applicable;
- or another electronic method reasonably associated with the Service.
You are responsible for keeping your relevant contact information current.
60. Electronic Transactions
Where permitted by law, you agree that electronic acceptance, electronic records, and electronic transactions may satisfy legal requirements for written agreements and records.
Nothing in this section waives a requirement that cannot legally be waived.
61. Updates to the Terms
Syntic may update these Terms to reflect:
- product changes;
- new features;
- new platforms;
- changes in account or entitlement functionality;
- security requirements;
- legal or regulatory developments;
- changes to third-party dependencies;
- organizational changes;
- or other legitimate business needs.
The updated Terms will display a revised Last Updated date.
Where required by applicable law, Syntic will provide advance notice of material changes or request renewed consent.
Changes will not retroactively eliminate rights that cannot legally be removed.
62. Entire Agreement for Syntic Care
These Terms, together with the Care-specific policies and transaction terms expressly incorporated into them, constitute the agreement between you and Syntic regarding Syntic Care, except where another executed agreement expressly governs your Care use.
These Terms do not constitute the entire agreement for separately governed Syntic products such as Syntic AI on syntic.ai.
Those products remain subject to their applicable terms and policies.
63. Order of Precedence
If documents applicable to Care conflict, the following order should generally apply unless a document expressly states otherwise or applicable law requires a different result:
- a signed enterprise or business agreement specifically governing Care;
- an applicable order form or transaction-specific term;
- these Syntic Care Terms;
- a Care-specific policy for the subject it specifically governs;
- product documentation and ordinary help materials.
Mandatory law overrides contractual terms where required.
Separate Syntic.ai product terms remain separate rather than entering this Care hierarchy.
64. Severability
If a provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect to the extent legally permitted.
The invalid provision will be interpreted or limited to the minimum extent necessary to make it enforceable where the law permits.
65. No Waiver
If Syntic does not enforce a provision immediately, that does not waive Syntic's right to enforce it later.
A waiver is effective only to the extent expressly made by an authorized party.
66. Assignment
You may not assign or transfer these Terms or your access to Syntic Care without Syntic's prior written consent, except where applicable law gives you a non-waivable right to do so.Syntic may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, transfer of a product or business line, or similar transaction, subject to applicable law.
67. Force Majeure
To the extent permitted by law, Syntic is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government action, widespread internet or infrastructure failure, cloud-provider outages, labor disruption, cyberattacks, supply-chain disruption, or similar events.
This provision does not limit mandatory consumer remedies.
68. Language
Syntic may provide translations of these Terms.
Unless applicable law requires otherwise, the English version is the controlling version if a translation materially conflicts with the English version.
69. Headings
Headings are provided for convenience and do not limit the meaning of these Terms.
70. Syntic Care Support
Questions about Syntic Care should be directed to the official Syntic Care support channel published on the Syntic Care website.
Do not send passwords, full payment-card numbers, private keys, recovery codes, or other highly sensitive authentication credentials to ordinary support channels.
71. Legal Notices
Legal notices relating to Syntic Care may be delivered through the official contact channels published by Syntic AI, Inc. for Syntic Care, subject to applicable law.
Where applicable law requires specific company, registration, representative, or consumer-contact information, Syntic will provide that information through an official Syntic property or another legally permitted notice method.
72. You Remain in Control of Device Actions
Care is intended to assist you with understanding and managing your device.
Except for actions that are technically necessary for installation, updating, security, entitlement verification, or another clearly disclosed function, Care should not be understood as authorization for Syntic to make arbitrary changes to your device.
Where an action requires your decision, Care may ask you to review and authorize it.
73. Results Are Not Guaranteed Outcomes
A scan result is a technical finding, not a promise of a particular outcome.
For example:
- "found" does not necessarily mean "safe to delete";
- "eligible" does not necessarily mean "deleted";
- "potentially reclaimable" does not mean that the exact amount will be freed;
- "optimized" should not be interpreted as a guarantee of measurable
performance improvement;
74. Operating-System Actions
Some actions may need to be performed directly through macOS, Windows, or another operating system.
Care may therefore direct you to operating-system settings instead of performing an action itself.
Syntic does not control the operating system and cannot guarantee that an operating-system interface, permission, setting, or behavior will remain unchanged.
75. Third-Party Applications
Care may detect, analyze, display information about, uninstall, or assist with managing third-party applications where supported.
Syntic is not the publisher of those applications unless expressly stated.
Removing an application may affect application data, plugins, integrations, preferences, licensing, or other functionality.
You should review important application data before removal.
76. Separate Product Rights
Access to Syntic Care does not by itself create rights to separately governed Syntic products, and access to another Syntic product does not alter these Care Terms unless Syntic expressly states otherwise.
Mandatory legal rights remain unaffected.
77. Agreement
By downloading, installing, accessing, activating, or using Syntic Care, you acknowledge that you have had an opportunity to review these Terms and agree to be bound by them to the extent permitted by applicable law.If you do not agree, do not use Syntic Care.
